I have a couple of questions concerning the JB update.
I am currently on ICS. Completely stock rooted ROM. Nothing frozen or removed.
I plan on using Matt's Utility. My first attempt is going to be update without wiping. What issues should I keep an eye out for? If for some reason I have issues, I will use option 1 and wipe the phone.
I have seen a ton of posts about wifi tether not working. Currently I use the WiFi Tether app and it works flawlessly. I don't use tethering a lot, but when I do use it, it is very needed. So this is important to me.

Wifi tether works fine on JB. There is info on the entitlement hack kicking around here somewhere.

If you flash a JB ROM most of them are able to WiFi tether or you can SQLite to do it yourself. There's instructions on the forums that show you how to do it.

There is no need to wipe your data. OTA updates are designed to clear out whatever files it needs to to avoid conflicts. It's different than a ROM developed by the community.

Well I decided to try applying the update by using voodoo and un-rooting then installing the OTA update. Low and behold.... it worked. Thanks all for the replies. Oh... and tethering works.
